GPOG TERMS AND CONDITIONS

Welcome to Gpog. These Terms and Conditions (“Terms”) govern your access to and use of the Gpog website, Marketplace, AI services, membership services, digital services, and other services provided by Gpog Limited (“Gpog”, “we”, “us”, or “our”).

By creating an account, purchasing a membership, using any Gpog service, listing products or services, or otherwise using the Platform, you agree to be bound by these Terms.

If you do not agree with these Terms, please do not use the Platform.

1. ABOUT GPOG

Gpog is a technology platform that provides access to various digital services and opportunities, including an online Marketplace, AI-powered services, membership plans, digital products, educational services, and other services that may be introduced from time to time.

Gpog may provide some services directly and may also provide a platform through which independent vendors, creators, service providers, and other users can connect with customers.

2. ELIGIBILITY AND USER ACCOUNTS

Users must provide accurate and complete information when creating an account.

You are responsible for:

Maintaining the accuracy of your account information.
Keeping your login credentials secure.
All activities carried out through your account.
Immediately notifying Gpog of any unauthorized use of your account.

Gpog may require additional information or verification where reasonably necessary for security, compliance, payment processing, membership, Marketplace participation, or other legitimate purposes.

3. USE OF GPOG SERVICES

Users agree to use Gpog’s services lawfully and responsibly.

Gpog may introduce, modify, suspend, or discontinue particular features, services, products, membership benefits, AI tools, or Marketplace features from time to time.

Gpog reserves the right to restrict or suspend access to AI services or other Platform features where misuse, abuse, fraud, security risks, or violations of these Terms are detected or reasonably suspected.

4. AI SERVICES

Gpog may provide AI-powered services including, but not limited to, AI image generation, video generation, music generation, tutoring, talking avatars, educational tools, and other AI-powered features.

AI-generated content is produced using automated technologies and may contain inaccuracies, errors, omissions, unexpected results, or content that requires human review.

Users are responsible for reviewing AI-generated content before using, publishing, distributing, selling, or relying upon it.

Gpog does not guarantee that AI-generated content will always be accurate, unique, complete, suitable for a particular purpose, or free from errors.

Users must not use Gpog AI services for unlawful, fraudulent, harmful, deceptive, or rights-infringing purposes.

5. MARKETPLACE PRODUCTS AND SERVICES

Gpog Marketplace enables Buyers and Vendors to discover, communicate with, and transact with one another.

Products and services listed on Gpog may be provided by independent Vendors or by Gpog, depending on the particular listing.

5.1 Independent Vendor Listings

For products and services listed by independent Vendors:

The Vendor is responsible for the accuracy of the listing.
The Vendor is responsible for the product or service being offered.
The Vendor is responsible for communicating with the Buyer.
The Vendor is responsible for fulfilling the transaction.
The Vendor is responsible for delivery or other fulfilment arrangements where applicable.
The Vendor is responsible for any applicable warranties, returns, refunds, or after-sales obligations relating to the transaction.

Gpog does not ordinarily own, possess, inspect, sell, deliver, or control products or services listed by independent Vendors.

Gpog does not guarantee the quality, legality, authenticity, availability, safety, suitability, or performance of products or services offered by independent Vendors.

Users should carefully review listing information and communicate with the Vendor before completing a transaction.

6. BUYER-VENDOR TRANSACTIONS AND PAYMENTS

For ordinary Marketplace transactions involving independent Vendors, Gpog does not ordinarily collect or hold payment on behalf of the Vendor.

The Buyer and Vendor are responsible for agreeing on:

The purchase price.
The payment method.
Delivery arrangements.
Delivery charges, where applicable.
The time and location of any meeting.
Other terms relating to the transaction.

Payment may be made directly by the Buyer to the Vendor through a mutually agreed lawful payment method.

A Buyer and Vendor may complete a transaction at the Vendor’s shop or, where appropriate and lawful, meet at another mutually agreed public location.

Gpog is not ordinarily a party to the contract between an independent Vendor and a Buyer.

Users should exercise appropriate caution when making payments, sharing personal information, arranging deliveries, or meeting other users.

7. AI CREDITS AND MEMBERSHIP PLANS

Certain Gpog AI services may require AI Credits.

AI Credits may be:

Included with certain membership or subscription plans.
Purchased separately where available.
Granted as promotional credits.
Granted through other Gpog programs or offers.

Unless otherwise expressly stated:

AI Credits have no cash value.
AI Credits cannot be transferred between users.
AI Credits are non-refundable.
Promotional credits may be subject to additional conditions.
Credits may expire according to the applicable membership, subscription, or promotional terms.
Different AI services may require different amounts of Credits.
Gpog may change credit allocations, pricing, usage limits, or available AI services with reasonable notice.

Unused Credits do not constitute money held by Gpog on behalf of the User.

8. PRICING AND PAYMENTS

Prices for Gpog memberships, subscriptions, AI Credits, Gpog-provided products and services, and other Gpog offerings are determined by Gpog and may change from time to time.

Prices for products and services offered by independent Vendors are determined by the respective Vendors.

Where payment is required for a Gpog-provided service, payment may be processed through licensed or authorized third-party payment providers.

Payment confirmation may depend on successful processing and confirmation by the relevant payment provider.

For ordinary independent Marketplace transactions, payment is made directly between the Buyer and Vendor and is not ordinarily collected or held by Gpog.

9. GPOG FLEX PAY™

Gpog Flex Pay™ is a flexible payment arrangement available for selected eligible purchases and users under terms established by Gpog.

9.1 Nature of the Arrangement

Where offered, Gpog Flex Pay™:

Enables eligible users to complete an approved purchase through an agreed payment schedule.
Is a purchase-based payment arrangement.
Is not a general cash loan facility.
Is not intended to provide users with cash for unrelated purposes.
May be subject to specific eligibility, verification, payment, and fulfilment requirements.

The specific terms applicable to a Flex Pay transaction will be communicated to the user before or during the transaction.

9.2 User Obligations

By participating in Gpog Flex Pay™, you agree to:

Make all scheduled payments as agreed.
Provide accurate information.
Satisfy applicable eligibility requirements.
Comply with the terms applicable to the particular Flex Pay transaction.
Not attempt to circumvent, manipulate, or abuse the Flex Pay system.

9.3 Fees

Where applicable, service fees, administrative charges, delivery charges, or other applicable costs will be disclosed before the relevant transaction is completed.

10. DELIVERY AND TRANSACTION COMPLETION

For independent Marketplace listings, delivery and fulfilment arrangements are primarily the responsibility of the Vendor and Buyer.

The Vendor and Buyer may agree on:

Collection from the Vendor’s shop.
Delivery to the Buyer’s chosen location.
A mutually agreed meeting point.
Another lawful fulfilment method.

For digital products and services, access or delivery may depend on successful completion of the applicable transaction or payment requirements.

For Gpog-provided products or services, the applicable delivery or fulfilment terms provided by Gpog will apply.

11. MEMBERSHIPS AND SUBSCRIPTIONS

Gpog may offer free and paid membership plans with different benefits, features, AI Credit allocations, Marketplace benefits, promotional opportunities, or other services.

Membership benefits are determined by the applicable plan at the time of use and may be changed from time to time in accordance with applicable terms.

Membership fees, renewal terms, cancellation conditions, and benefits may vary according to the selected plan.

Users are responsible for reviewing the applicable membership information before subscribing.

12. INTELLECTUAL PROPERTY

The Gpog Platform, including its trademarks, logos, software, website design, original content, systems, and other proprietary materials, is owned by or licensed to Gpog Limited unless otherwise stated.

Users may not copy, reproduce, modify, distribute, sell, reverse engineer, or commercially exploit Gpog’s proprietary materials without appropriate authorization.

Users generally retain their rights in original content they create or upload, subject to applicable law and the rights of third parties.

Where Users use Gpog AI services to create content, Users are responsible for ensuring that their prompts, uploaded materials, and resulting use of the content do not infringe the rights of other persons.

13. USER CONTENT

Users are responsible for content they upload, publish, submit, or otherwise make available through Gpog.

This includes Marketplace listings, photographs, videos, descriptions, reviews, comments, AI inputs, and other materials.

Users must have the necessary rights and permissions to submit such content.

Gpog may remove or restrict content that violates these Terms, applicable law, or Gpog’s policies.

14. PROHIBITED ACTIVITIES

Users must not:

Provide false or misleading information.
Engage in fraud, scams, theft, or other unlawful activities.
Use Gpog services for illegal or harmful purposes.
Generate, upload, distribute, or promote unlawful, deceptive, defamatory, hateful, abusive, or infringing content.
Advertise illegal, counterfeit, stolen, or prohibited goods or services.
Attempt to bypass Platform security or payment systems.
Upload malicious software, harmful code, or other harmful material.
Interfere with the operation of the Platform.
Attempt to gain unauthorized access to another user’s account or Gpog’s systems.
Abuse AI Credits, promotional offers, Marketplace features, or other Platform benefits.
Manipulate Platform records, reviews, transactions, rewards, or other systems.
Use the Platform in a manner that could reasonably harm Gpog or other users.

Violation of these Terms may result in removal of content, restriction of services, suspension, or permanent termination of an account.

15. DISPUTES BETWEEN BUYERS AND VENDORS

For transactions between independent Vendors and Buyers, the parties should first attempt to resolve disputes directly and in good faith.

Gpog may provide available communication channels or other reasonable assistance where appropriate.

However, because Gpog is ordinarily a marketplace platform rather than the seller of an independent Vendor’s product or service, Gpog does not guarantee that disputes between Buyers and Vendors will be resolved through the Platform.

Nothing in these Terms prevents a User from exercising any legal rights available under Nigerian law.

16. PLATFORM DISPUTES

Where a dispute concerns Gpog’s own services, memberships, AI services, Marketplace operations, or another service directly provided by Gpog, Users may contact Gpog through the official support channels.

Gpog may review relevant information and evidence and may take appropriate action in accordance with its policies and applicable law.

17. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Gpog provides its Platform and services on an “as is” and “as available” basis.

Gpog does not guarantee that the Platform or any particular service will always be uninterrupted, error-free, secure, or available.

To the extent permitted by law, Gpog shall not be responsible for:

Errors, inaccuracies, or limitations in AI-generated content.
Decisions made by Users based solely on AI-generated content.
The quality, legality, authenticity, availability, or performance of products or services offered by independent Vendors.
The conduct of Buyers or Vendors.
Transactions conducted directly between Buyers and Vendors.
Delivery arrangements made between Buyers and Vendors.
Service interruptions or technical failures beyond Gpog’s reasonable control.
Indirect, incidental, special, or consequential losses, where exclusion is permitted by law.
Losses arising from unauthorized use of an account where the User failed to maintain appropriate account security.

Users remain responsible for exercising reasonable judgment when using Gpog services and when dealing with other Marketplace users.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under Nigerian law.

18. SUSPENSION AND TERMINATION

Gpog may suspend, restrict, remove, or terminate access to:

User accounts.
AI services.
Marketplace features.
Membership benefits.
Listings.
Promotional programs.
Transactions or other Platform services.

where Gpog reasonably believes that:

These Terms have been violated.
Applicable law has been violated.
Fraud, abuse, or misuse has occurred or is reasonably suspected.
The security or integrity of the Platform is at risk.
Continued access may cause harm to Gpog or other users.

Where appropriate, Gpog may take immediate action without prior notice where necessary to protect the Platform, its users, or comply with applicable law.

19. CHANGES TO THESE TERMS

Gpog may update these Terms from time to time to reflect changes in its services, technology, business operations, security requirements, or applicable laws.

Updated Terms will become effective upon publication on the Platform or on another date specified by Gpog.

Continued use of Gpog after the effective date of updated Terms constitutes acceptance of the revised Terms, subject to applicable law.

20. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.

Any dispute arising from these Terms shall be subject to the jurisdiction of the appropriate courts of Nigeria.
