GPOG VENDOR AGREEMENT
1. INTRODUCTION
This Vendor Agreement (“Agreement”) governs the use of the Gpog Marketplace by vendors (“Vendor”, “You”, or “Your”).
By registering as a Vendor or listing any product or service on the Gpog Marketplace, you agree to comply with the terms of this Agreement, Gpog Marketplace policies, and all applicable laws and regulations of the Federal Republic of Nigeria.
2. ROLE OF GPOG
Gpog provides an online marketplace that enables Vendors to advertise and showcase their products and services and enables Buyers to discover and communicate with Vendors.
Gpog is a marketplace platform and does not ordinarily act as the seller, owner, supplier, payment collector, or delivery provider for products and services listed by Vendors.
Unless expressly stated otherwise, the contract or transaction for the purchase of a product or service is directly between the Vendor and the Buyer.
Gpog does not take possession of, own, or control products or services listed by Vendors.
3. VENDOR RESPONSIBILITIES
Vendors are solely responsible for:
- Providing accurate, complete, and up-to-date information about their products and services.
- Uploading genuine photographs, descriptions, specifications, prices, and other relevant information.
- Ensuring that products and services offered are available as advertised.
- Communicating honestly and professionally with Buyers.
- Providing products or services that correspond substantially with their listings.
- Complying with all applicable Nigerian laws and regulations.
- Handling customer enquiries, negotiations, sales, fulfilment, returns, refunds, warranties, and after-sales matters relating to their own transactions.
- Ensuring the safety and legality of any meeting, delivery, or transaction arrangement with a Buyer.
4. PRICING
Vendors are responsible for setting and maintaining the prices displayed on their listings.
All prices must be accurate and must not be deliberately misleading.
Where applicable, Vendors should clearly communicate additional costs, including delivery charges, installation charges, service charges, or other applicable fees, before completing a transaction with a Buyer.
5. BUYER-VENDOR PAYMENTS
Gpog does not ordinarily collect, receive, hold, or process payment on behalf of Vendors.
Payment for a transaction is made directly between the Buyer and the Vendor, using a payment method mutually agreed upon by them.
A Vendor may receive payment directly from a Buyer through methods agreed between the parties, including bank transfer, cash payment, POS payment, or other lawful payment methods.
Where a Buyer purchases directly from a Vendor’s physical shop, payment may be made at the Vendor’s shop.
Where a transaction requires delivery, the Vendor and Buyer may agree on the appropriate delivery arrangement and responsibility for delivery costs.
Gpog does not guarantee that a Buyer will make payment or that a Vendor will successfully complete a transaction.
Vendors and Buyers are responsible for exercising appropriate care and judgment when conducting transactions.
6. MEETING AND TRANSACTION ARRANGEMENTS
Gpog may facilitate communication between Buyers and Vendors so that they can discuss products, services, prices, delivery, payment, and other transaction details.
Buyers and Vendors may mutually agree to meet and complete a transaction at a Vendor’s shop or another appropriate public or mutually agreed location, where lawful and reasonably safe.
Each party is responsible for taking appropriate precautions when meeting another person or completing a transaction.
Gpog does not control or supervise physical meetings between Buyers and Vendors and is not responsible for the conduct of either party during such meetings.
7. DELIVERY AND FULFILMENT
Unless otherwise expressly stated by Gpog, the Vendor is responsible for fulfilling orders or providing services agreed with the Buyer.
Where a product is not purchased directly from the Vendor’s physical shop, the Vendor and Buyer may agree on the method, timing, cost, and responsibility for delivery.
The Vendor is responsible for ensuring that products are delivered as agreed and that services are provided as described in the listing.
Any dispute concerning delivery, product condition, service quality, refunds, warranties, or fulfilment should first be addressed directly between the Buyer and Vendor.
8. GPOG FLEX PAY™
Where a transaction is specifically identified by Gpog as being eligible for or connected with Gpog Flex Pay™, additional terms and conditions may apply.
Vendors participating in Gpog Flex Pay™ agree to comply with the applicable Flex Pay rules, eligibility requirements, fulfilment requirements, and payment arrangements communicated by Gpog.
Nothing in this section means that Gpog generally collects payments for ordinary Marketplace transactions.
9. PROHIBITED ACTIVITIES
Vendors must not use the Gpog Marketplace to:
- Engage in fraud, scams, theft, or other unlawful activities.
- Advertise counterfeit, stolen, illegal, or prohibited goods or services.
- Provide false or deliberately misleading information.
- Manipulate, deceive, or defraud Buyers.
- Use another person’s identity or account without authorization.
- List products or services that the Vendor does not have the right or authority to sell or provide.
- Circumvent Gpog’s applicable Marketplace rules, fees, restrictions, or security measures.
- Upload content that violates applicable laws or the rights of other persons.
- Engage in abusive, threatening, discriminatory, or inappropriate conduct toward Buyers or other Marketplace users.
Gpog reserves the right to remove listings, restrict accounts, suspend Vendors, or terminate Marketplace access where it reasonably believes that these terms or applicable laws have been violated.
10. TRANSACTIONS BETWEEN VENDORS AND BUYERS
Because Gpog acts primarily as a marketplace connecting Buyers and Vendors, Vendors acknowledge that transactions may take place directly between them.
Gpog is not ordinarily a party to the sales contract between a Vendor and a Buyer.
Vendors are therefore responsible for fulfilling their obligations to Buyers, including product availability, product condition, delivery, service quality, warranties, refunds, and other obligations arising from their transactions.
Buyers are responsible for fulfilling their own obligations to Vendors, including payment for products or services purchased.
11. DISPUTES
Vendors and Buyers should make reasonable efforts to resolve transaction-related disputes directly and in good faith.
Where appropriate, Gpog may provide communication channels, transaction information, or other reasonable assistance available to it, but Gpog does not guarantee resolution of disputes between Vendors and Buyers.
Nothing in this Agreement prevents a Vendor or Buyer from exercising any legal rights available to them under applicable Nigerian law.
12. GPOG’S LIMITATION OF RESPONSIBILITY
Gpog provides the Marketplace as a platform for connecting Buyers and Vendors.
Except where expressly required by law or expressly stated in a separate Gpog agreement, Gpog is not responsible for:
- The quality, safety, legality, authenticity, or condition of products or services offered by Vendors.
- The accuracy of information supplied by Vendors.
- The ability of a Vendor to fulfil a transaction.
- The ability of a Buyer to pay for a transaction.
- Delivery arrangements made between Buyers and Vendors.
- Conduct occurring during private communications or physical meetings between Buyers and Vendors.
- Losses arising from transactions conducted directly between Buyers and Vendors.
Vendors remain responsible for their own products, services, representations, employees, agents, and obligations to Buyers.
13. ACCOUNT SUSPENSION AND TERMINATION
Gpog may remove a Vendor’s listing, restrict Marketplace access, suspend an account, or terminate a Vendor’s participation in the Marketplace where the Vendor:
- Violates this Agreement;
- Violates Gpog Marketplace policies;
- Engages in fraudulent or unlawful conduct;
- Provides materially misleading information;
- Repeatedly receives credible complaints concerning transactions; or
- Engages in conduct that may expose Gpog or other Marketplace users to significant risk.
Where appropriate, Gpog may also take action to protect Buyers, Vendors, and the integrity of the Marketplace.
14. CHANGES TO THIS AGREEMENT
Gpog may update this Agreement from time to time to reflect changes to the Marketplace, applicable laws, services, or operating procedures.
Where material changes are made, Gpog may provide notice through the Marketplace or other appropriate communication channels.
Continued use of the Gpog Marketplace after the effective date of an updated Agreement constitutes acceptance of the updated terms, subject to applicable law.
15. GOVERNING LAW
This Agreement shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.
Any dispute arising from this Agreement shall be subject to the jurisdiction of the appropriate courts of Nigeria.
16. ACCEPTANCE
By registering as a Vendor, creating a Vendor account, or listing products or services on the Gpog Marketplace, you confirm that you have read, understood, and agreed to be bound by this Vendor Agreement.
